Snapkey CRM — Terms & Conditions

These Terms govern access to and use of Snapkey CRM, a SaaS CRM and social media management platform owned and operated by ABM Technomatrics Pvt Ltd. By registering, subscribing, or otherwise using Snapkey CRM, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

Eligibility and Authority

You may use Snapkey CRM only if:

  • you are legally capable of entering into a binding agreement under applicable law;
  • you are using the platform for lawful business, professional, or organizational purposes;
  • all information you provide is accurate and current; and
  • you have authority to act on behalf of your company, employer, client, or organization, where applicable.

If you connect or manage a social media account, page, profile, business asset, or publishing destination through Snapkey CRM, you represent and warrant that you are duly authorized to do so.

Acceptance of Terms

By creating an account, logging in, connecting a platform, uploading content, scheduling a post, using analytics, or otherwise accessing any part of Snapkey CRM, you agree to these Terms and our Privacy Policy.

If you are using Snapkey CRM on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have authority to bind that organization to them.

Description of Services

Snapkey CRM provides software tools and related services, including but not limited to:

  • social account connection through authorized APIs and OAuth flows;
  • social media scheduling and publishing;
  • instant or queued publishing workflows;
  • content drafting and content management;
  • media upload and storage;
  • post status tracking;
  • dashboard analytics and reporting;
  • team and workspace access for authorized users; and
  • related integration, operational, and support functionality.

We may add, modify, suspend, limit, or discontinue features at any time for business, technical, compliance, security, or platform-dependency reasons.

Account Registration and Security

To use certain features, you may be required to create an account or access a workspace provisioned by your organization. You agree to:

  • provide accurate and complete registration information;
  • maintain the confidentiality of your login credentials;
  • restrict unauthorized access to your account, workspace, and devices;
  • promptly notify us of any unauthorized use, compromise, or suspected breach; and
  • ensure that users invited to your workspace are properly authorized.

You are responsible for all activities occurring under your account or workspace, except to the extent prohibited by law.

Multi-User and Workspace Access

Snapkey CRM may allow multiple users to operate within the same workspace, tenant, or CRM environment. You acknowledge and agree that:

  • workspace administrators may manage users, connected accounts, settings, and content visibility;
  • authorized users within a workspace may view, edit, schedule, publish, or remove content depending on assigned permissions;
  • your organization is responsible for assigning and maintaining appropriate internal access controls; and
  • we are not responsible for internal misuse by authorized members of your organization or workspace.

Connected Accounts and Third-Party Platforms

Snapkey CRM integrates with third-party platforms including, where supported, Facebook, Instagram, LinkedIn, Twitter/X, and other publishing or media services. By connecting an account, you acknowledge and agree that:

  • the integration depends on the availability, rules, permissions, and technical limitations of third-party APIs;
  • you remain subject to the terms, community guidelines, developer policies, and platform rules of each connected provider;
  • third-party providers may modify, suspend, revoke, or restrict API access or account permissions at any time;
  • we are not responsible for platform-side outages, suspensions, rejected posts, or changes to API functionality.
You must not use Snapkey CRM to bypass, evade, or interfere with platform rules or review requirements.

OAuth, Permissions, and API Use

Where Snapkey CRM uses OAuth or other delegated authorization methods to connect third-party services, you authorize us to access and use the approved data and permissions necessary to perform the features you enable. You understand that:

  • connected account access is granted through explicit user or organization authorization;
  • requested permissions are intended to support account connection, content scheduling, publishing, analytics, or related functionality;
  • we may store access credentials, tokens, refresh tokens, account identifiers, and associated metadata as necessary to operate the service; and
  • revoking permissions at the platform level may disable some or all related functionality in Snapkey CRM.

You agree not to grant Snapkey CRM access to accounts you do not have authority to manage.

User Content and Customer Data

You retain ownership of content, media, text, graphics, captions, hashtags, comments, business records, and other materials you submit, upload, store, schedule, or publish through Snapkey CRM ("User Content").

You grant ABM Technomatrics a limited, non-exclusive, revocable, worldwide right to host, process, copy, store, transmit, format, display, and use User Content solely as necessary to operate and provide Snapkey CRM β€” including authenticating integrations, scheduling and publishing posts, displaying analytics, troubleshooting, securing, and complying with law.

We do not claim ownership of your User Content except as necessary to provide the service.

Your Responsibilities for Content

You are solely responsible for all User Content and publishing activity carried out through Snapkey CRM. You represent and warrant that:

  • you own or have all necessary rights, licenses, consents, and permissions to use and publish the content;
  • the content does not infringe any intellectual property, publicity, privacy, contractual, or other rights;
  • the content is lawful and compliant with applicable advertising, consumer protection, election, defamation, and platform-specific rules; and
  • the content does not contain malicious code, deceptive claims, prohibited promotions, unlawful material, or harmful content.

We are not responsible for reviewing all User Content before publication and do not endorse any user-generated content.

Acceptable Use Policy

You agree not to use Snapkey CRM to:

  • violate any law, regulation, court order, or third-party right;
  • publish unlawful, defamatory, abusive, fraudulent, obscene, hateful, or misleading content;
  • impersonate any person or entity;
  • send spam or perform unauthorized bulk automation;
  • scrape, harvest, or misuse third-party data beyond authorized platform permissions;
  • upload viruses, malware, harmful code, or destructive files;
  • attempt unauthorized access to any account, workspace, token, API, database, infrastructure, or system;
  • disrupt, overload, reverse engineer, test vulnerabilities of, or interfere with the service;
  • use the platform for surveillance, unlawful profiling, or prohibited data exploitation;
  • resell, sublicense, or commercially exploit Snapkey CRM except as expressly permitted; or
  • use social platform data or API outputs in ways prohibited by Meta, LinkedIn, Twitter/X, or any other provider.

We reserve the right to investigate suspected misuse and to suspend or terminate access where necessary.

Analytics and Reporting

Snapkey CRM may provide analytics, dashboards, summaries, status indicators, platform metrics, delivery data, and related reporting. You acknowledge that:

  • analytics may rely on data from third-party platforms and may be delayed, estimated, incomplete, or unavailable due to provider restrictions, sync delays, or technical issues;
  • analytics and reports are provided for informational and operational use only; and
  • we do not guarantee that analytics data will be continuously available, complete, or suitable for financial, legal, or regulatory decision-making.

Data Storage, Retention, and Operational Processing

In order to provide Snapkey CRM, we may store and process user and workspace account information, connected social account data, OAuth tokens and related metadata, posts, drafts, scheduled content and publishing history, media files and metadata, account status and activity records, analytics summaries and operational metrics, logs, diagnostics, and authentication and session information.

Data handling is further described in our Privacy Policy. You acknowledge that some data may be retained for security, compliance, audit, backup, fraud-prevention, and operational continuity purposes.

Privacy

Our collection, use, storage, disclosure, and protection of personal and business-related information is governed by our Privacy Policy. By using Snapkey CRM, you consent to the processing of information as described in the Privacy Policy.

Data Deletion and Revocation

Users may disconnect connected social media accounts from within the platform where supported, revoke permissions directly through Facebook, Instagram, LinkedIn, Twitter/X, or other connected services, and request deletion of their Snapkey CRM data in accordance with our Data Deletion Instructions and applicable law. We may retain certain data where legally required or reasonably necessary for security, recordkeeping, dispute resolution, fraud prevention, or enforcement of our rights.

Fees, Billing, and Subscription Terms

If Snapkey CRM is offered under a paid plan, subscription, invoice, proposal, statement of work, or enterprise agreement, the applicable commercial terms will govern pricing, billing, taxes, seat limits, payment schedules, renewal, cancellation, and service scope. Unless otherwise agreed in writing:

  • fees are payable in accordance with the applicable plan or invoice;
  • all fees are non-refundable except where required by law or expressly stated otherwise;
  • taxes, duties, levies, and governmental charges are your responsibility except taxes based on our net income; and
  • failure to pay applicable fees may result in suspension or restriction of access.

Service Availability and Changes

We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. Snapkey CRM may be affected by maintenance windows, infrastructure outages, queue or worker issues, third-party API downtime, platform permission changes, security incidents, network failures, and product changes or deprecations. We may update the interface, architecture, flows, security measures, integrations, and functionality of the service at any time.

Beta, Preview, or Experimental Features

From time to time, we may make available beta, preview, pilot, or experimental features. Such features may be incomplete, unstable, or subject to change without notice. Beta and preview features are provided "as is" and may be modified, suspended, or removed at our discretion.

Suspension and Termination

We may suspend, limit, disable, or terminate your access to Snapkey CRM, with or without notice, if:

  • you breach these Terms;
  • you breach third-party platform policies;
  • you misuse the service or create legal, reputational, or security risk;
  • your account is involved in suspected fraud, abuse, or unauthorized access;
  • we are required to do so by law, regulator, or third-party platform; or
  • continued service is no longer technically or commercially feasible.

You may stop using Snapkey CRM at any time. If applicable, you may request account or workspace closure through official support channels. Termination does not waive accrued rights, liabilities, or obligations existing prior to termination.

Effect of Termination

Upon suspension or termination:

  • your access to some or all features may end immediately;
  • scheduled or pending posts may be canceled, paused, or become inaccessible;
  • connected sessions or integrations may stop functioning;
  • we may delete or archive data in accordance with our retention policies, legal obligations, and system processes; and
  • you remain responsible for any obligations incurred before termination.

Intellectual Property Rights

All rights, title, and interest in and to Snapkey CRM β€” including software, code, features, workflows, branding, design, documentation, trade names, logos, and related intellectual property β€” are owned by or licensed to ABM Technomatrics Pvt Ltd. Except for the limited use rights expressly granted under these Terms, no rights are granted to you by implication, estoppel, or otherwise. You may not copy, distribute, modify, decompile, reverse engineer, create derivative works from, or exploit Snapkey CRM except as expressly permitted by law or by our prior written consent.

Confidentiality

Where confidential information is exchanged in connection with the use of Snapkey CRM, each party agrees to use reasonable care to protect such information and not to disclose it except as necessary to perform obligations, exercise rights, comply with law, or protect legitimate interests. Confidential information does not include information that is publicly available without breach, was lawfully known prior to disclosure, is independently developed without use of confidential information, or is lawfully received from a third party without restriction.

Disclaimer of Warranties

To the fullest extent permitted by applicable law, Snapkey CRM is provided on an "as is" and "as available" basis. ABM Technomatrics Pvt Ltd disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, satisfactory quality, error-free operation, and compatibility with third-party systems or APIs. We do not warrant that any post will publish successfully, that any connected platform will continue to support a feature, or that the service will meet every business, legal, or compliance need.

Limitation of Liability

To the fullest extent permitted by law, ABM Technomatrics Pvt Ltd and its directors, officers, employees, affiliates, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, anticipated savings, or reputation, arising out of or related to use of or inability to use Snapkey CRM, failed or delayed publishing, third-party API outages or restrictions, loss of access to connected accounts, errors in analytics or data synchronization, user-generated content, or suspension, termination, or modification of features.

Aggregate liability cap

Our total aggregate liability arising out of or related to Snapkey CRM shall not exceed the total amount paid by you to ABM Technomatrics Pvt Ltd during the twelve (12) months immediately preceding the event giving rise to the claim, or, if no fees were paid, INR 5,000. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnity

You agree to defend, indemnify, and hold harmless ABM Technomatrics Pvt Ltd, its affiliates, officers, directors, employees, contractors, and service providers from and against any claims, actions, demands, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to your use of Snapkey CRM, your User Content, your violation of these Terms, your violation of any law or third-party right, your misuse of connected social platform APIs or permissions, or any dispute between you and your clients, users, team members, or connected account owners.

Compliance with Laws and Platform Rules

You are solely responsible for ensuring that your use of Snapkey CRM complies with applicable laws and regulations, advertising and consumer protection laws, data protection and privacy requirements, intellectual property laws, election, political, and promotional rules where relevant, and the terms and policies of Meta, Facebook, Instagram, LinkedIn, Twitter/X, and other integrated providers. You must not use Snapkey CRM in any way that would cause us or our integrations to violate platform review requirements or developer policies.

No Legal, Financial, or Regulatory Advice

Snapkey CRM is a software platform only. It does not provide legal, tax, accounting, regulatory, employment, investment, or compliance advice. Any analytics, publishing suggestions, reports, or system outputs are for operational convenience only and should not be relied upon as professional advice.

Force Majeure

We will not be liable for any delay, failure, or interruption caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, strikes, labor disputes, internet failures, utility outages, governmental actions, cyberattacks, infrastructure failures, or third-party platform unavailability.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to applicable law, the courts having jurisdiction over the location of the principal place of business of ABM Technomatrics Pvt Ltd shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the use of Snapkey CRM.

Changes to These Terms

We may revise these Terms from time to time. Updated Terms will be posted on the relevant public page with a revised effective date. Continued use of Snapkey CRM after updated Terms become effective constitutes your acceptance of the revised Terms, to the extent permitted by law.

Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure by ABM Technomatrics Pvt Ltd to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

Entire Agreement

These Terms, together with our Privacy Policy, Data Deletion Instructions, and any applicable order form, proposal, invoice, enterprise agreement, or written commercial terms, constitute the entire agreement between you and ABM Technomatrics Pvt Ltd regarding Snapkey CRM, except where a separate signed agreement expressly supersedes them.
